Perion acquires PRN for up to $12 million

The acquisition extends Perion’s existing presence in programmatic digital out-of-home, commerce, social and connected TV into in-store media

Perion is acquiring in-store retail media company PRN for up to $12 million, expanding its advertising offering into point-of-purchase environments. The deal gives Perion access to exclusive retail inventory and established relationships with national retailers across commerce, consumer packaged goods and healthcare.

The acquisition extends Perion’s existing presence in programmatic digital out-of-home, commerce, social and connected TV into in-store media. The company expects the transaction to be accretive from closing and contribute approximately $3 million to adjusted EBITDA in 2027 before synergies.

Perion expands its in-store retail media footprint

PRN operates media networks across warehouse clubs, big-box stores, pharmacies and grocery environments. Its footprint includes a 4K TV network across more than 750 warehouse club locations in North America, a major big-box retailer with more than 4,500 stores and a national healthcare retailer with more than 2,200 stores.

The acquisition gives Perion access to exclusive, multi-year inventory agreements with national retailers and expands its reach into the US retail media market, which the company values at more than $70 billion.

Tal Jacobson, CEO, Perion: “The PRN acquisition checks all the boxes - Strategic, Synergetic and Profitable from day one. PRN gives us the ultimate channel before any decision to purchase. Our intent is to leverage the breadth of our channel offering, including CTV and digital out-of-home, so a brand can execute a single campaign from the living room to the shelf. For retailers, it means curated monetization that protects the store environment. This expands our TAM across the retail media market and opens budgets that have not historically been programmatically addressable. I want to welcome the talented team of PRN as they join our journey to provide the best solutions for advertisers worldwide.”

Acquisition extends Perion’s omnichannel advertising offer

Perion plans to combine its programmatic DOOH network with PRN’s in-store inventory to reach consumers from the commute through to the point of purchase. Over time, it expects to apply programmatic execution to in-store retail media while operating within individual retailers’ requirements for content, frequency and the store environment.

Kevin Carbone, CEO, PRN: “Joining Perion will allow us to deliver greater overall value to our retailers and advertisers. Marketers want to plan in-store advertising the way they plan every other channel. Perion brings the demand and the execution to make that possible, while retailers keep the same control over what runs in their stores.”

Under the transaction terms, Perion will pay up to $12 million in cash at closing, subject to customary purchase price adjustments, on a cash-free and debt-free basis. PRN will operate as Perion Retail Networks, with the company stating that existing retailer and advertiser relationships will continue without disruption.

The acquisition is not expected to materially affect Perion’s full-year 2026 outlook. The company expects the all-cash transaction to simplify integration and allow it to focus on expanding its retail media offering.
