Omnicom extends exchange deadline in IPG merger plan
Omnicom Group has extended the deadline for its exchange offers related to outstanding Interpublic Group notes, moving the expiration date from September 9 to September 30, 2025. The offers are part of Omnicom’s planned acquisition of Interpublic Group, announced in December 2024.
The extension allows additional time for the merger process to advance. If the transaction is not completed by the new deadline, Omnicom said it may extend the date further to align settlement with the merger’s completion.
The exchange involves up to 2.95 billion US dollars in new Omnicom senior notes and cash, offered in exchange for several series of Interpublic Group notes maturing between 2028 and 2048. Alongside the exchange, Omnicom is soliciting consents from eligible holders to amend indentures governing the existing Interpublic Group notes.
On August 22, 2025, Omnicom received sufficient consents to move forward with amendments that remove certain covenants and restrictive provisions. Interpublic Group subsequently executed a supplemental indenture, which will take effect once the exchange offers are settled.
The settlement of the exchange offers is expected within two business days after the September 30 expiration date, provided the merger has closed or Omnicom chooses to waive conditions. If the merger is not finalized by that time, Omnicom is prepared to extend the deadline further.
The companies said the regulatory review of the merger is progressing and they continue to expect the transaction to close before the end of 2025.
