FTC clears path for Publicis-LiveRamp deal
The agreement follows commitments proposed by Publicis Groupe to preserve LiveRamp's neutrality and independence.
Publicis Groupe has reached an agreement with the US Federal Trade Commission (FTC) on commitments related to its planned acquisition of LiveRamp, with the deal expected to close before the end of 2026.
The group said the measures are intended to protect client choice, ensure fair access to services and maintain an open ecosystem for agencies and technology platforms.
Publicis outlines commitments for LiveRamp clients
Publicis Groupe said it had recognised the significance of the acquisition for clients and the wider industry from the outset. Ahead of the regulatory process, LiveRamp's leadership reaffirmed its commitment to maintaining the company's operating principles and protecting client interests.
The commitments cover five areas: freedom of choice, fair access, data protection, interoperability and independent oversight. Clients will retain the ability to use LiveRamp's products and services independently, while access will remain fair, reasonable and non-discriminatory.
Data protection and independent oversight remain priorities
The agreement also includes commitments to safeguard client data and ensure it remains under clients' control. Publicis Groupe said LiveRamp would continue to operate within an open ecosystem connected to third-party agencies and platforms.
Periodic independent audits will provide oversight of these commitments. Publicis Groupe said the principles underpinning LiveRamp's neutrality and independence remain unchanged following the agreement with the FTC.
LiveRamp acquisition expected to close by year-end
Publicis Groupe expects the transaction to close before the end of 2026. The agreement marks a step forward in the regulatory process, although completion remains subject to the outstanding requirements of the transaction.
The commitments are intended to maintain LiveRamp's position as an independent platform while addressing regulatory considerations surrounding the acquisition.
