Publicis shareholders approve board changes
Among the resolutions adopted was the approval of a dividend of 3.75 euros per share,
Publicis Groupe shareholders approved all resolutions at the company’s Combined General Shareholders’ Meeting, including a dividend increase and the appointment of two new directors to the board.
The meeting took place at PublicisCinémas in Paris and was chaired by Arthur Sadoun, Chairman and Chief Executive Officer. Shareholders representing 80.78 percent of voting rights participated in the meeting.
Shareholders approve dividend increase
Among the resolutions adopted was the approval of a dividend of 3.75 euros per share, representing an increase of 4.17 percent compared with the dividend paid for the 2024 financial year.
The ex-dividend date has been set for 1 July 2026, with payment scheduled for 3 July 2026.
Shareholders also approved the renewal of Tidjane Thiam as an independent director for a four-year term, alongside the appointments of Benjamin Badinter and Jaime Teevan as directors for four-year terms.
The meeting additionally approved compensation paid or awarded to corporate officers for the 2025 fiscal year, as well as compensation policies for 2026 covering the Chairman and Chief Executive Officer and members of the board.
Publicis highlights growth performance
Arthur Sadoun, Chairman and Chief Executive Officer, Publicis: “2025 was another year of very strong performance for Publicis in a difficult macroeconomic environment. Once again, the Groupe outperformed the industry with organic growth of +5.6%, while continuing to deliver the strongest financial ratios in the sector.”
Arthur Sadoun: “At the beginning of 2026, the Groupe maintained its momentum with a first quarter in line with expectations, enabling us to confirm our objectives for the year. Despite a global environment that remains uncertain, we continue to be confident in our ability to once again outperform the industry thanks to the strength of our model.”
Arthur Sadoun also welcomed Benjamin Badinter and Jaime Teevan to the board and highlighted the company’s focus on AI-driven growth as Publicis marks its centenary year.
Board committees updated after AGM
Following the shareholder meeting, the Publicis board confirmed updated committee memberships.
Thomas H. Glocer will continue to chair the Audit and Financial Risks Committee, while Élisabeth Badinter will chair the Nominating Committee and Antonella Mei-Pochtler will lead the Compensation Committee.
Marie-Josée Kravis will chair the Strategic, Environmental and Social Committee, which now includes newly appointed directors Benjamin Badinter and Jaime Teevan among its members.
Publicis said the board now consists of 14 directors alongside two employee representatives.
