Omnicom unveils $5B share buyback plan
Omnicom has announced a share repurchase program authorizing up to 5 billion dollars of its common stock as part of its capital allocation strategy.
As part of the program, Omnicom has executed accelerated share repurchase (ASR) arrangements for 2.5 billion dollars of stock with certain financial institutions.
The company will fund the repurchases with cash on hand and expects to receive an initial delivery of shares on February 20, 2026. Final settlement under the ASR agreements is expected by the end of the second quarter of 2026.
Flexible repurchase framework
Under the program, Omnicom may buy shares through open market purchases, privately negotiated transactions, or other methods, subject to SEC and other legal requirements.
The timing, price, and volume of repurchases will depend on market conditions, stock prices, and other considerations. Omnicom is not obligated to acquire a specific amount outside the ASR arrangements and may suspend or discontinue the program at its discretion.
PJT Partners is acting as Omnicom’s financial advisor for the ASR arrangements.
