Criteo completes move to Luxembourg

As part of the process, the company terminated its American Depositary Share (ADS) programme

Criteo has completed the transfer of its legal domicile from France to Luxembourg through a cross-border conversion, marking the first step in the company's plan to become a US-domiciled business.

The conversion took effect on 29 July 2026. As part of the process, Criteo terminated its American Depositary Share (ADS) programme, with each ADS automatically converted into one ordinary share. The company's ordinary shares now trade directly on Nasdaq under the ticker symbol CRTO.

US relocation planned for 2027

Following the completion of the Luxembourg conversion and consultation with its works council, Criteo's Board of Directors has approved the next stage of the redomiciliation process.

The company plans to transfer its legal domicile to the United States through a cross-border merger with a wholly owned US subsidiary. The transaction remains subject to shareholder approval and other customary conditions and is expected to complete in January 2027.

Company outlines expected benefits

Criteo said the planned move to the United States is intended to provide greater corporate flexibility and support long-term shareholder value. The company said the relocation could improve its eligibility for inclusion in US stock market indices, increase access to passive investment capital, simplify capital management and remove the costs associated with maintaining an ADS programme.

Upon completion of the US merger, Criteo also intends to transfer the listing of its common stock from Nasdaq to the New York Stock Exchange, subject to meeting applicable listing requirements.
