Comcast and NBCUniversal to separate after 15 years

Sky UK and Sky Italia to remain part of NBCUniversal as Comcast completes major corporate restructuring

After 15 years under the same corporate umbrella, Comcast and NBCUniversal are set to become independent companies, marking one of the most significant restructurings in the global media and telecommunications industry.

Comcast, whose core businesses include Xfinity, Xfinity Mobile and Comcast Business, announced plans to separate from NBCUniversal through a spin-off expected to be completed within the next year.

NBCUniversal to operate as standalone company

Following the separation, NBCUniversal will operate independently and will continue to include its extensive portfolio of media and entertainment assets. These include the NBC television network and NBC News, Bravo, Telemundo, Universal Pictures, DreamWorks Animation, Universal theme parks, as well as Sky UK and Sky Italia.

Sky UK and Sky Italia will remain integral parts of NBCUniversal. Together, the two European operators operate television studios, streaming services, pay-TV brands including Sky Sports, Sky Cinema, Sky Uno, Sky One and Sky Atlantic, free-to-air channels such as Sky News, Sky TG24, Cielo, TV8, Sky Arts and Sky Mix, alongside broadband services through Sky Broadband and Sky Wi-Fi and mobile offerings under Sky Mobile.

Versant remains a separate business

The announcement follows Comcast's earlier decision this year to spin off Versant, a separate media company housing brands including CNBC, Syfy, E!, MSNOW (formerly MSNBC), Golf Channel, Rotten Tomatoes and USA Sports.

The latest move means NBCUniversal - including its Sky businesses - will become an independent company, separate from both Comcast and Versant.

SkyShowtime ownership remains in focus

Sky also owns a 50 percent stake in SkyShowtime, the European streaming platform serving several markets, including the Netherlands. The remaining 50 percent is owned by Paramount Skydance.

Peacock, NBCUniversal's streaming platform, remains a smaller player in the United States compared with its largest competitors. Following Paramount Skydance's acquisition of Warner Bros. Discovery and HBO Max, industry observers expect the company to reassess its investment in SkyShowtime.

Sky Deutschland already sold

The restructuring comes shortly after Comcast completed the sale of Sky Deutschland to RTL Group on June 1.

Despite the corporate changes, the iconic NBCUniversal peacock logo is expected to remain unchanged.

Leadership changes accompany the separation

The spin-off is expected to be completed within approximately one year. Once finalized, Comcast shareholders will receive shares in the newly independent NBCUniversal. Comcast will retain a 19.9 percent ownership stake in NBCUniversal for at least one year following the transaction.

Mike Cavanagh, currently Co-Chief Executive Officer of Comcast, will become Chief Executive Officer of NBCUniversal.

Michael Angelakis, Comcast's former Chief Financial Officer, will assume the role of Chief Executive Officer of Comcast.

Brian L. Roberts, whose father founded Comcast, will continue serving as Chairman of the Board of both companies, providing continuity during the transition.

The separation brings to an end a strategy that began in 2011 when Comcast acquired NBCUniversal on the premise that combining telecommunications infrastructure with media and entertainment assets would generate long-term convergence benefits.
